Terms of Use for Touch Typing

Welcome to Touch Typing (the "Application"), a web-based application designed to help you learn and improve your touch typing skills. By accessing or using the Application, you ("User" or "you") agree to be bound by these Terms of Use ("Terms"). Please read these Terms carefully before using the Application.

Acceptance of Terms

By accessing or using the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Application.

Use of the Application

    Permitted Use

    1. The Application is provided for your personal, non-commercial use to learn and improve touch typing. You may access and use the Application solely for this purpose in accordance with these Terms and any applicable laws and regulations.

    Prohibited Use. You agree not to:

    1. Use the Application for any illegal, harmful, or unauthorized purpose.
    2. Attempt to interfere with, disrupt, or gain unauthorized access to the Application, its servers, or networks.
    3. Modify, adapt, translate, reverse engineer, decompile, or disassemble any part of the Application.
    4. Use any robot, spider, scraper, or other automated means to access or collect information from the Application.
    5. Transmit any viruses, worms, malware, or other harmful code through the Application.
    6. Impersonate any person or entity or falsely state or misrepresent your affiliation with any person or entity.
    7. Collect or store personal information of other users without their express consent.
    8. Use the Application in a way that violates the rights of others, including intellectual property rights.
    9. Remove, obscure, or alter any copyright, trademark, or other proprietary notices displayed on the Application.

Intellectual Property

  1. Ownership: The Application, including its design, code, text, graphics, images, and other content (excluding User Content as defined below), is owned by Compli Tech OÜ or its licensors and is protected by copyright, trademark, and other intellectual property laws.
  2. Limited License: Subject to these Terms, Compli Tech OÜ grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application for its intended purpose.
  3. Trademarks: Touch Typing and any related logos are trademarks of Compli Tech OÜ. You may not use these trademarks without our prior written consent.

User Content

  1. Definition: "User Content" refers to any text, data, information, or other content that you submit, upload, or otherwise make available through the Application (e.g., custom lessons, progress tracking data if stored on our servers).
  2. Your Rights and Responsibilities: You retain ownership of your User Content. By submitting User Content, you grant Compli Tech OÜ a non-exclusive, worldwide, royalty-free, sub-licensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, and display your User Content in connection with the operation and improvement of the Application. You are solely responsible for your User Content and warrant that you have all necessary rights to grant us this license.
  3. Prohibited User Content: You agree not to submit any User Content that is illegal, harmful, offensive, defamatory, obscene, infringing on intellectual property rights, or otherwise objectionable. We reserve the right to remove or refuse to display any User Content that violates these Terms or that we deem inappropriate.

Privacy

Your use of the Application is also subject to our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy (link to privacy policy page can be found in the bottom of the page) to understand how we collect, use, and disclose your information.

Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. COMPLI TECH OÜ DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE APPLICATION AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COMPLI TECH OÜ, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APPLICATION, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF COMPLI TECH OÜ HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE APPLICATION SHALL NOT EXCEED FIFTY (USD) DOLLARS.

Indemnification

You agree to indemnify, defend, and hold harmless Compli Tech OÜ, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your use of the Application, or your User Content.

Modifications to the Terms

Compli Tech OÜ reserves the right to modify these Terms at any time without prior notice. Any changes to these Terms will be effective upon posting the revised Terms on the Application. Your continued use of the Application after the posting of revised Terms constitutes your acceptance of the changes. It is your responsibility to review these Terms periodically for updates.

Termination

Compli Tech OÜ may terminate or suspend your access to the Application at any time, with or without cause and without prior notice. Upon termination, your right to use the Application will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, intellectual property provisions, disclaimers of warranties, limitations of liability, and indemnification.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Application shall be exclusively resolved in the competent courts located in the Republic of Estonia. You hereby consent to the jurisdiction of such courts.

Entire Agreement

These Terms, together with our Privacy Policy (link to privacy policy page can be found in the bottom of the page), constitute the entire agreement between you and Compli Tech OÜ regarding your use of the Application and supersede all prior and contemporaneous communications and proposals, whether oral or written.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
